Terms of Service

1. About These Terms

These Terms of Service ("Terms") form an agreement between Webdoze Inc ("Webdoze", "we", "us" or "our"), based in Balangir, Odisha, India, and the person or organisation using our website or purchasing our services ("you", "your" or "Client").

By using this website, accepting a proposal, issuing a purchase order, paying an invoice or instructing us to begin work, you confirm that you have read and accepted these Terms and that you are legally authorised to act for the Client.

2. Agreement and Order of Priority

A project may also be governed by a signed agreement, proposal, quotation, statement of work, invoice, change request or support plan (collectively, "Project Documents"). If there is a conflict, the following order normally applies:

• a mutually signed agreement or statement of work;
• an accepted proposal or quotation and approved change requests;
• these Terms; and
• general website content or marketing material.

Only an authorised written amendment can change agreed commercial terms.

3. Services and Project Scope

Webdoze provides services including website development, eCommerce, mobile applications, CRM and ERP systems, SaaS products, custom software, SEO, maintenance, consulting and AI-enabled automation.

The applicable Project Document defines the deliverables, assumptions, exclusions, milestones, timeline and fees. Anything not expressly included is outside scope. Additional features, revisions, integrations, content, data work or changes may require a written change request, revised schedule and additional charges.

4. Client Responsibilities

You agree to:

• provide accurate requirements, content, branding, credentials, feedback and approvals on time;
• appoint one authorised decision-maker where reasonably requested;
• ensure you have rights and permissions for all materials, data and instructions supplied to us;
• review deliverables promptly and report reproducible issues with sufficient detail;
• maintain lawful licences and accounts for third-party tools selected by you; and
• use deliverables lawfully and maintain appropriate backups, security and access controls after handover.

Webdoze is not responsible for delay, rework or loss caused by incomplete requirements, delayed approvals, unavailable credentials, inaccurate information or instructions changed after approval.

5. Timelines, Feedback and Acceptance

Dates are good-faith estimates unless a Project Document expressly states that a date is guaranteed. Timelines depend on timely Client cooperation, third-party availability and events beyond reasonable control.

A milestone or deliverable is considered accepted when you approve it in writing, use it in production, request the next milestone to begin, or fail to identify a material non-conformity within the review period stated in the Project Document. Acceptance does not waive any express defect-correction obligation.

If Client inactivity materially delays a project, Webdoze may reschedule resources, revise the delivery date, charge reasonable restart costs or close the project after giving notice.

6. Fees, Invoices and Taxes

Fees, currency and payment milestones are specified in the applicable Project Document or invoice. Unless otherwise agreed in writing:

• advance or booking payments reserve resources and authorise work to begin;
• milestone invoices become payable when the corresponding milestone is delivered or approved;
• final payment is due before production launch, unrestricted source-code transfer or final credential handover;
• fees exclude applicable taxes, government charges, bank fees and currency-conversion costs; and
• third-party licences, hosting, domains, paid assets, APIs, advertising and platform charges are additional unless expressly included.

We may pause work, hosting, support or deployment when an undisputed payment is overdue. You remain responsible for completed work, committed costs and approved milestones.

7. Cancellations, Suspension and Termination

Either party may terminate a project as permitted by the applicable Project Document or for a material breach that remains uncured after reasonable written notice. Webdoze may suspend or terminate services immediately where necessary to address unlawful use, abuse, security risk, infringement, fraud or persistent non-payment.

On termination, the Client must pay for work performed, approved milestones, non-cancellable commitments and third-party costs incurred up to the effective termination date. Any refund eligibility is governed by our Refund Policy and mandatory applicable law.

8. Intellectual Property

Each party retains ownership of intellectual property it owned or developed independently before the project. Webdoze also retains ownership of reusable know-how, frameworks, libraries, utilities, development methods, generic modules and internal tools that are not created exclusively for the Client ("Background Materials").

After full payment of all project invoices, the Client receives the ownership or licence rights in final custom deliverables expressly stated in the Project Document. Where Background Materials are embedded in a deliverable, Webdoze grants the Client a non-exclusive, perpetual licence to use them only as part of that deliverable, unless otherwise agreed.

Drafts, rejected concepts, unpaid work and internal development materials remain Webdoze property. Third-party and open-source components remain subject to their own licences.

9. Client Materials and Legal Compliance

You retain ownership of materials you provide and grant Webdoze a limited licence to use them to deliver the services. You represent that those materials and instructions do not violate intellectual-property, privacy, confidentiality, consumer-protection or other rights.

Unless expressly included in scope, the Client is responsible for final legal review of website content, accessibility, regulated-industry requirements, product claims, tax rules, privacy notices, cookie consent, data-processing instructions and terms presented to the Client’s own users.

10. Third-Party Services

Projects may depend on hosting providers, domain registrars, app stores, payment gateways, APIs, plugins, AI services, open-source software or other third parties. Their availability, pricing, policies and functionality are outside Webdoze’s control.

We are not responsible for third-party outages, account suspensions, breaking API changes, licence restrictions or discontinued services. Work required because of third-party changes may be separately chargeable unless covered by an active support plan.

11. Confidentiality and Data

Each party will use reasonable care to protect non-public information received from the other and will use it only for the project, except where disclosure is authorised or legally required. This does not cover information already lawfully known, independently developed or publicly available without breach.

Personal information collected through this website is handled according to our Privacy Policy. Where Webdoze processes personal data solely for a Client, additional data-processing terms may be agreed when required.

12. Portfolio and Publicity

Unless prohibited by a Project Document or a written confidentiality obligation, Webdoze may identify the Client and display publicly launched, non-confidential deliverables in its portfolio, proposals and marketing. We will not intentionally disclose confidential business information or private systems. A Client may request a reasonable written restriction before public launch.

13. Support, Maintenance and Backups

Post-launch support, maintenance, monitoring, content updates, hosting and service levels are included only when stated in a Project Document or active support plan. Correction of a reproducible defect that materially differs from the approved scope is handled during any warranty period specified in that document.

New features, compatibility changes, third-party updates, Client modifications, malware remediation, content changes and issues caused by external infrastructure are not defects and may be separately chargeable. Unless Webdoze expressly manages backups under a written plan, the Client is responsible for ongoing backups after handover.

14. Results and No Guaranteed Rankings

Webdoze will provide services with reasonable professional care, but does not guarantee uninterrupted operation, specific revenue, leads, sales, search-engine rankings, advertising results, app-store approval, third-party acceptance or business outcomes. SEO, AI outputs and platform performance depend on changing algorithms, competition, data, budgets, third-party policies and Client execution.

AI-generated or automated outputs may require human review. The Client remains responsible for verifying accuracy, suitability, permissions and legal compliance before relying on or publishing them.

15. Disclaimer of Warranties

The website is provided for general information on an “as available” basis. To the fullest extent permitted by law, implied warranties are excluded except where they cannot legally be excluded. Nothing in these Terms limits an express warranty stated in a Project Document or a right that cannot be waived under applicable law.

16. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential loss, or for lost profit, revenue, business opportunity, goodwill or data, arising from the services.

Webdoze’s aggregate liability arising from a specific project will not exceed the fees actually paid to Webdoze for the affected services during the six months preceding the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited, including liability arising from fraud or wilful misconduct.

17. Indemnity

You agree to defend and indemnify Webdoze against third-party claims, damages and reasonable costs arising from Client-supplied materials, unlawful instructions, infringement by Client content, misuse of deliverables or the Client’s breach of these Terms, except to the extent caused by Webdoze’s breach or misconduct.

18. Website Use

You may not misuse the website, attempt unauthorised access, introduce malware, interfere with operation, scrape it abusively, impersonate another person, submit unlawful content or use the website to violate rights or law. Website content, branding and design may not be reproduced commercially without permission, except as allowed by law.

19. Force Majeure

Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disasters, war, civil disturbance, widespread internet or power failure, government action, labour disruption, epidemic, cyberattack or critical third-party outage. The affected party will take reasonable steps to minimise the impact.

20. Governing Law and Disputes

These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve a dispute through written discussion. Subject to any mandatory consumer-protection or jurisdictional right, courts having jurisdiction in Balangir, Odisha will have jurisdiction over unresolved disputes.

21. General Provisions

If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. Neither party may transfer a project agreement without the other party’s consent, except as part of a genuine business reorganisation or transfer where obligations are assumed by the successor. These Terms do not create a partnership, employment or agency relationship.

22. Changes and Contact

We may update these website Terms prospectively by posting a revised version and changing the “Last updated” date. Changes to an active project require written agreement where they materially alter agreed commercial terms.
